Terms of Service

These Terms of Service ("Terms") govern your access to and use of the EarlyOpps platform operated by Sieena, Inc., dba Definity First ("Company", "we", "us", or "our"). By accessing or using EarlyOpps, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using EarlyOpps in any way, you confirm that you are at least 18 years old, have the authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with them. If you do not agree, do not use the service.

2. Description of Services

EarlyOpps is a B2B SaaS platform that monitors Texas SLED (State, Local, and Education) public records — including city council agendas, school board minutes, and county commissioner documents — and uses AI to surface procurement leads for authorized subscribers. The platform provides lead discovery, contact management, pipeline tracking, and notification features.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Accounts & Registration

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at support@earlyopps.com if you suspect unauthorized access.

Each account is for a single organization (tenant). You may invite additional team members up to your plan's seat limit. Sharing credentials across organizations is not permitted.

4. Subscriptions & Billing

Trial. New accounts begin with a 10-day free trial. No credit card is required to start. At the end of the trial, continued access requires a paid subscription.

Paid plans. Subscription fees are billed monthly or annually in advance. All fees are non-refundable except as required by law or as stated in a separate agreement.

Upgrades and downgrades. Plan changes take effect at the start of the next billing cycle. Upgrades may take effect immediately at a prorated rate.

Cancellation. You may cancel at any time from your account settings. Access continues until the end of your current billing period.

Taxes. Prices exclude applicable taxes. You are responsible for all applicable taxes, duties, and levies.

5. Acceptable Use

You agree not to:

• Use EarlyOpps for any unlawful purpose or in violation of applicable regulations
• Reverse engineer, decompile, or attempt to extract source code from the platform
• Scrape, crawl, or use automated tools to bulk-extract data beyond normal API use
• Resell or sublicense access without our written consent
• Attempt to gain unauthorized access to any part of the service or its underlying systems
• Upload or transmit malicious code, viruses, or harmful content
• Interfere with the integrity or performance of the service

Violation of this section may result in immediate account suspension without refund.

6. Intellectual Property

Our content. EarlyOpps, its software, design, trademarks, and compiled data products are owned by Sieena, Inc. and protected by applicable intellectual property laws. Nothing in these Terms grants you ownership of our IP.

Public record data. Lead data surfaced by EarlyOpps is derived from publicly available government sources. We do not claim copyright over raw public records, but we do claim rights in our proprietary compilation, scoring, extraction, and presentation of that data.

Your data. You retain ownership of any data you upload or create in EarlyOpps (notes, contact records, pipeline data). You grant us a limited license to process that data to provide the service.

7. Data & Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using EarlyOpps, you consent to that data processing.

8. Disclaimer of Warranties

EarlyOpps is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that lead data will be complete or current. Public records may contain errors, omissions, or delays outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, Sieena, Inc. and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of EarlyOpps, even if advised of the possibility of such damages. Our total aggregate liability for any claim shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Sieena, Inc. and its affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of EarlyOpps; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the platform.

11. Termination

We may suspend or terminate your account at any time for material violation of these Terms, with or without notice. You may terminate your account at any time. Upon termination, your right to access EarlyOpps ceases immediately. Sections 6, 8, 9, 10, and 12 survive termination.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Travis County, Texas. You consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice in the app. Continued use of EarlyOpps after the effective date of updated Terms constitutes acceptance of those changes.
